The Fund is offered in reliance on an exemption from the registration requirements of the Securities Act of 1933. The SEC has not given its approval to the Fund, the offering terms, or the accuracy of any offering materials. Limited partner interests in the Fund are subject to strict legal restrictions on transfer and resale. Investments in the Fund are highly speculative, involve a high degree of risk, and are not subject to the protections of the Investment Company Act of 1940. Investors should be able to bear the loss of their entire investment.
